Abstract U ovom radu se istražuju pravni oblici poduzeća. Izbor pravnog oblika trgovačkog društva
u kojem će se obavljati neka djelatnost ovisi o volji osnivača toga društva. Rad počinje s
temeljnim naznakama o trgovačkim društvima, pojmovima koji su bitni kako bi se
upoznali s trgovačkim društvom. Poseban značaj se daje podjeli trgovačkih društava u
Hrvatskoj, gdje se opisuje javno trgovačko društvo, komanditno društvo, gospodarsko
interesno udruženje, dioničko društvo i društvo s ograničenom odgovornošću. Iznose se
glavne karakteristike tih društava, njihove prednosti i nedostatci. Opisuju se i posebni
pravno-organizacijski oblici biznisa koji se koriste u Hrvatskoj, a to su tajno društvo,
ortaštvo, slobodna zanimanja, zadruga, ustanova i obrt. Važno je upoznati se s inozemnim
operacijama na tržištu. Odabir odgovarajućeg pravnog oblika poslovanja organizacije, koji
je dopušten u određenoj zemlji, je jedan od ključnih elemenata u procesu donošenja odluka
za tvrtku, te se opisuju pojedini pravni oblici koji se koriste u Sjedinjenim Američkim
Državama, Kini, Njemačkoj, Ujedinjenom Kraljevstvu, Francuskoj, Italiji i Japanu.
Abstract (english) This paper examines the legal forms of business enterprises. The choice of the legal form
of a company in which to perform an activity depends on the will of the founders of the
company. The work begins with the fundamental signs of the Companies, terms which are
essential to get familiar with the company. Special importance is given to division of
companies in Croatia, which describes a public company, limited partnership, economic
interest association, joint stock company and a limited liability company. It highlights the
main features of these companies, their advantages and disadvantages. The paper
describes the special legal and organizational forms of business that are used in Croatia,
and they are a secret society, partnership, self-employment, cooperatives, institutions and
artisan. It is important to become familiar with international operations in the market.
Choosing the right legal form of business organization which is allowed in a given country
is a key element in the decision-making process for the company, and here are described
certain legal forms used in the United States, China, Germany, United Kingdom, France,
Italy and Japan.
