Abstract Korporativno upravljanje sve je zanimljivija tema zahvaljujući ekonomskoj liberalizaciji te deregulaciji industrije i poslovanja. Nameće se i sve veća odgovornost poduzeća prema dioničarima i kupcima. U uvjetima globalizacije ne smiju se
zanemariti interesi dioničara, zaposlenika, poslovnih partnera i ostalih dionika. Unutarnji sukobi mogu negativno utjecati na učinak subjekta. Da bi se to izbjeglo, sve je važnije odgovorno ponašanje menadžera koje podrazumijeva usvajanje modela korporativnog upravljanja. Načela korporativnog upravljanja u sve se većoj mjeri primjenjuju na organizacije javnih službi i prilagodljive su malim poduzećima, zadrugama i socijalnim poduzećima. Najčešći modeli korporativnog upravljanja su dvorazinski sustavi odnosno dualistički model upravljanja te jednorazinski odnosno monistički model upravljanja. U ovom radu istražuje se utjecaj modela korporativnog upravljanja na financijske rezultate odabranih hrvatskih poduzeća: Podravka, Kraš, Vijesnik, Đuro Đaković grupa, Jadran Galenski grupa i Petrokemija, za razdoblje od 2017. do 2020. godine. Dio njih primjenjuje jednorazinski model, a dio dvorazinski model korporativnog upravljanja. Analizira se kretanje cijene dionica ovih poduzeća na burzi te njihovi financijski pokazatelji, a dio istraživanja primjenjuje statističke metode: medijan, aritmetičku sredinu i standardnu devijaciju. U tu svrhu koristi se statistički softver SPSS. Provedeno istraživanje ukazuje na zaključke kako je dvorazinski model korporativnog upravljanja primjereniji za hrvatska poduzeća koji je i najzastupljeniji na ovom području. Istraživanje je pokazalo da su se poduzeća s jednorazinskim modelom u promatranom razdoblju više zaduživala. No, prema pokazatelju dobiti/gubitka, profitne marže i ROA, bolje posluju poduzeća s dvorazinskim modelom upravljanja. Nedvojbeno se može tvrditi kako su poduzeća s jednorazinskim modelom upravljanja u Hrvatskoj ograničena u mogućnostima širenja poslovanja.
Abstract (english) Corporate governance is an increasingly interesting topic thanks to economic liberalization and deregulation of industry and business. The growing responsibility of the company towards shareholders and customers is also being imposed. In the conditions of globalization, the interests of shareholders, employees, business partners and other stakeholders must not be neglected. Internal conflicts can negatively affect a subject’s performance. To avoid this, responsible managerial behavior, which implies the adoption of a corporate governance model, is increasingly important. The principles of corporate governance are already being applied to public service organizations and are adaptable to small businesses, cooperatives and social enterprises. The most common models of corporate governance are two-level systems or dualistic management model and one-level or monistic management model. This paper investigates the impact of the corporate governance model on the financial results of selected Croatian companies: Podravka, Kraš, Vijesnik, Đuro Đaković Group, Jadran Galenski Group and Petrokemija, for the period from 2017 to 2020. Some of them apply a one-tier model, some a two-tier corporate governance model. The movement of stock prices of these companies on the stock exchange of their financial indicators is analyzed, and part of the research applies statistical methods: medium, arithmetic mean and standard deviation. SPSS statistical software is used for this purpose. Efforts were made to determine which corporate governance model is "better" and which of them brings better financial performance. Based on the conducted research, it can be argued that the two-tier model of corporate governance is more appropriate for Croatian companies, which is also the most common in this area. The research showed that companies with a one-tier model borrowed more in the observed period. However, according to the profit / loss indicator, profit margin and ROA, companies with a twotier management model do better. Undoubtedly, it can be argued that companies with a one-tier management model in Croatia are limited in their ability to expand their business.
