Abstract
Postojanje bilo kojeg poduzeća ili organizacije podrazumijeva složenu mrežu društvenih odnosa te različite svrhe, želje i interese njihovih vlasnika. Kako bi ono uspješno obavljalo svoju funkciju potrebno je uspješno njime upravljati i kontrolirati ga. Instrument za usmjeravanje ponašanja članova uprave i nadzornog odbora u željenom smjeru jesu naknade vrhovnih menadžera. Njihova uloga ključna je u približavanju interesa između dioničara i vrhovnih menadžera. Osnovni cilj ovog diplomskog rada bio je prikazati ulogu i važnost motivacije članova upravnog i nadzornog odbora u korporativnom upravljanju te njen utjecaj na poslovni uspjeh poduzeća. Jedna od važnih determinanti kvalitete korporativnog upravljanja upravo su motivirani upravni i nadzorni odbori. Rezultati istraživanja upućuju da motiviranje članova upravnog i nadzornog odbora utječe na poslovnu uspješnost poduzeća. Odgovarajuće strukturirani paket kompenzacija ima dovoljnu snagu za utjecanje na ishod upravljanja poduzećem i zadovoljavanje interesa dioničara, odnosno, može uvelike pridonijeti kvaliteti korporativnog upravljanja.

The existence any of the companies or organizations implies a complex social network and different purposes, wishes and interests of their owners. To make successfully performed its function it is necessary to successfully manage it and control it. Instrument for routing behavior of members of management and supervisory boards in the desired direction are fees top managers. Their roles is crucial in approaching interest between shareholders and top managers. The main goal of this diploma thesis was to show the role and importance motivation of management and supervisory boards in corporate governance and his influence on business success of the company. One of the important determinants of the quality of corporate governance are motivated management and supervisory boards. The research results indicate that the motivation members management and supervisory board affects the business success of company. Appropriate structured compensation package has sufficient power to affect the outcome of enterprise management and to satisfy the interests of shareholders or, can greatly contribute to the quality of corporate governance.
